General terms and conditions
1. General information
With the publication of these delivery and payment terms, all other delivery and payment terms become invalid. The following delivery and payment terms apply for all contracts, deliveries and other services, including consulting services, provided they are not amended or excluded with the express permission of the seller. For differing agreements or amendments to be considered valid, especially all verbal amendments or those made via telephone with our representatives or officers, they must be confirmed in writing and will only come into effect with written counter-confirmation from the seller. All orders confirmed by the purchaser and accepted by the seller are binding and cannot be subsequently cancelled.
2. Delivery terms
Deliveries are free within for orders with a net value of EUR € 600.00 or more. For orders with a net value below EUR € 600.00, a delivery fee will be charged. A general delivery fee applies for other countries. Delivery will be either on COD / via advance payment. The seller reserves the right to make partial deliveries. Confirmed delivery times will be adhered to as much as possible. Possible claims due to failure to meet a delivery date are rejected from the outset. The purchaser only has the right to rescind a contract due to failure to meet a delivery date if he has given the seller a reasonable grace period of 3 weeks in writing, unless a fixed date of delivery has been agreed upon. The seller reserves the right to extend delivery times appropriately in cases of force majeure, delivery problems with presuppliers, disruptions of business operations (strike, lockout), general disruptions of monetary and credit transactions, and warlike events.
3. Payment terms
2% discount for payments made within 10 days of the invoice date, or net after 30 days without deductions. The seller reserves the right to process the order COD, via partial advance payment or full advance payment. Where applicable, the appropriate information will be given in advance to the purchaser. In cases of delayed payment, the purchaser will receive all further deliveries COD. Bills of exchange will only be accepted in lieu of payment after prior approval of the seller. In cases of delayed payment, a 4% interest rate above the relevant bank rate will be charged.
4. Pricing
For and the European countries, all prices are valid ex warehouse in Eibelstadt. Unless otherwise expressly stated, all prices refer to the respective depicted items according to their descriptions. The listed catalogue prices do not include GST. The listed prices represent the prevailing price on any particular day and may be adjusted depending on economic factors.
5. Complaints
Complaints will only be considered if they have been made in writing within one week after receipt of the order. It is necessary to obtain permission from the seller prior to returning the rejected merchandise. No returned merchandise will be accepted without the seller’s permission. The seller’s approval to return merchandise does not constitute acceptance of the complaint. In the case of a valid complaint, the seller reserves the right to rectify or replace the item within a reasonable period of time. Defective merchandise does not justify the withholding of the invoiced amount.

7. Applicable law, Place of jurisdiction The contractual relationships are governed exclusively by the laws of the Federal Republic of Germany. The place of performance and place of jurisdiction for both parties is Würzburg.
